Terms of Service

Last updated: October 6, 2026

1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Programate, Inc. (“Programate”, “we”, “us”, “our”), a company based in Chicago, Illinois, U.S.A., and operator of the Programate Lift service (“Programate Lift”, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. What Programate Lift does

Programate Lift probes third-party AI answer engines (such as Perplexity, OpenAI, Anthropic, Google, and xAI) with buyer-style questions to measure whether and how a brand is recommended, and turns the resulting transcripts into generative-engine-optimization (GEO) and search-engine-optimization (SEO) insights. The Service is an analytics and research tool that simulates public-style searches. It does not provide professional, legal, financial, or marketing advice.

3. Nature of the Service — public-simulation use only (please read)

Programate Lift works by submitting the inputs you provide — including the targets, personas, goals, prompts, and questions you configure — to one or more third-party AI providers that you select, and by recording the responses. Your inputs are therefore disclosed to us and transmitted onward to those third-party providers, who process them under their own terms and privacy policies that we do not control.

The Service is designed to simulate public internet searches. You should treat everything you submit as if it were public. You agree not to submit any personal data, confidential information, trade secrets, credentials, health, financial, biometric, or other sensitive or regulated data, or any third party’s confidential or personal information, into the Service.

You use the Service at your own risk in this respect. You are solely responsible for the inputs you submit and for ensuring you have the right to submit them. To the maximum extent permitted by law, we are not responsible or liable for any consequences arising from your submission of personal, confidential, secure, regulated, or otherwise inappropriate data to the Service or to the third-party providers.

4. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your registration information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. We use protections such as two-factor authentication and bot detection; you agree not to circumvent them.

5. Data collection and your consent

You acknowledge and agree that, as described in our Privacy Policy, we collect and process operational and usage data generated through your use of the Service — including run inputs and outputs, token and cost metrics, and account activity — to operate, secure, optimize, and improve the Service, to fine-tune our cost estimates and methods, and to develop new features. Your agreement to this collection and use is part of these Terms. If you do not agree, do not use the Service.

6. Third-party AI providers

Runs are executed against third-party AI engines that you select. Those providers are independent third parties; their availability, outputs, behavior, rate limits, and data handling are outside our control. We make no warranty regarding any third-party provider, and your use of their outputs through the Service is subject to their applicable terms. We may add, remove, or change available providers and the underlying models at any time.

7. Credits, plans, and billing

  • The Service runs on prepaid credits. Credits may be purchased pay-as-you-go or granted through a subscription plan. Credits are usage units, not currency; they have no cash value and are non-transferable.
  • Runs consume credits. We provide pre-run estimates, but an estimate is not a price cap: you are charged for the actual cost of each run, converted to credits at our then-current rate (which includes our service margin). If actual usage exceeds the estimate, the difference is drawn from your balance.
  • Payments are processed by our third-party payment processor (Stripe). By purchasing, you authorize the applicable charges, including recurring subscription charges and, if you enable it, automatic credit refills, and you authorize us and our processor to store and charge your payment method for these amounts.
  • Subscriptions renew automatically until cancelled. Upgrades take effect immediately; downgrades and cancellations take effect at the end of the current billing period. Monthly subscription credit grants are use-it-or-lose-it and expire at each renewal.
  • Except where required by law or expressly stated by us, purchases and consumed credits are non-refundable. Unused pay-as-you-go credit lots may expire after the period stated in the app. Prices are in U.S. dollars and exclusive of taxes, which are your responsibility.
  • Non-payment, failed charges, or payment disputes/chargebacks may result in suspension or termination and clawback of associated credits.

8. Acceptable use

You agree not to: use the Service unlawfully or to infringe others’ rights; submit prohibited data as described in Section 3; attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its infrastructure; resell or provide the Service to third parties except as permitted; use the Service to generate unlawful, harmful, deceptive, or abusive content; or violate the terms of any third-party provider. We may impose rate limits and other protections and may refuse, throttle, or cancel runs to protect the Service.

9. Your content and our intellectual property

As between you and us, you retain ownership of the inputs you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit (including to the third-party providers you select), analyze, and create derived and aggregated metrics from your inputs and the resulting outputs, for the purposes described in these Terms and the Privacy Policy. We and our licensors own the Service, software, and all related intellectual property; no rights are granted to you except as expressly stated.

10. Disclaimers — no warranty

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. AI-generated outputs may be incomplete, inaccurate, or inconsistent; you are responsible for independently verifying any output before relying on it. We do not warrant any particular result, ranking, recommendation, or business outcome.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100.

12. Indemnification

You will indemnify and hold harmless Programate and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your inputs, your use of the Service, your violation of these Terms, or your submission of prohibited data.

13. Suspension and termination

We may suspend or terminate your access for violation of these Terms, non-payment, suspected abuse or fraud, or to comply with law. You may stop using the Service at any time. Certain records (including financial ledger data) are retained as described in the Privacy Policy and as required by law.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law and contact

These Terms are governed by the laws of the State of Illinois, U.S.A., without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Cook County (Chicago), Illinois. Questions about these Terms may be sent to [email protected].
